THIS GENERAL SERVICE AGREEMENT dated this April 13, 2020 between

Carl Carson Enterprises of North Dakota, America
(the “Customer”)

– AND –

Yamashita Architecture Firm of Tokyo, Japan
(the “Service Provider”).

IN CONSIDERATION OF the matters described above and of the mutual benefits and obligations set forth in this agreement, the receipt and sufficiency of which consideration is hereby acknowledged, Carl Carson Enterprises and the Yamashita Architecture Firm (individually the “Party” and collectively the “Parties” to this Agreement) agree as follows:

Services Provided

• Carl Carson Enterprises hereby agrees to engage Yamashita Architecture Firm to provide them with following services (the “Services”) which consists of:
• Providing the following services by demand: architectural services, interior design services, furniture services, and all other related services leaning towards home improvement
•  The Yamashita Architecture Firm will also include any other tasks upon which the parties may agree on. Yamashita Architecture Firm hereby agrees to provide such Services to Carl Carson Enterprises.

Term of Agreement

• The term of this agreement (the “Term”) will commence on the date of this agreement and will remain in full force and effect indefinitely until terminated as written in the provided agreement.
• In the event that either party would wish to terminate or end this agreement, that party will be required to provide 20 days notice to the other Party. You may also see what is a business agreement?
• Except as otherwise provided in this agreement, the duties and services of the Yamashita Architecture Firm will end upon the termination of this agreement.

Performance

• Both Carl Carson Enterprises and Yamashita Architecture Firm agree to do everything necessary in their power to ensure that the terms of this contract or agreement are met and would take place according to general plan.

Currency

• Except as otherwise provided in this agreement, all monetary amounts referred to in this contract shall be paid in Japanese Yen or U.S. dollars (USD)

Compensation

• For the services rendered by Yamashita Architecture Firm as required by this agreement, Carl Carson Enterprises will provide sufficient compensation to Yamashita Architecture Firm as follows:
• Carl Carson Enterprises will pay Yamashita Architecture Firm per agreed or approved project. It is to be noted that each project has its own incurred cost and Yamashita Architecture Firm agrees to inform the representatives of Carl Carson Enterprises on the incurred expenses when setting the quotation and Carl Carson Enterprises hereby agrees to pay the total amount when the project is delivered. • The compensation will be payable upon completion of the aforementioned services.
• Yamashita Architecture Firm is mainly responsible for paying any Superannuation Guarantee contributions that may be required in relation to the work performed by the Service Provider or by employees of Yamashita Architecture Firm under this agreement. Provision of Extras

• Carl Carson Enterprises will not provide any resources, assistance or extras for use by the Yamashita Architecture Firm in providing the services. You may also see commercial agreement examples & samples.

Reimbursement of Expenses

• Yamashita Architecture Firm will not be reimbursed for expenses incurred by Yamashita Architecture Firm in connection with providing the abovementioned services of this agreement.

Confidentiality

• Confidential information refers to any data or information relating to the business of Carl Carson Enterprises which would reasonably be considered to be proprietary to Carl Carson Enterprises including, but not limited to, accounting records, business processes, and client records and that is not generally known in the industry of Carl Carson Enterprises and where the release of that Confidential Information could reasonably be expected to damage the good name of Carl Carson Enterprises. • Yamahsita Architecture Firm agrees that they shall not disclose, divulge, reveal, report or use, for any purpose, any form of information that is deemed confidential which the Yamashita Architecture Firm has received, except when authorized by Carl Carson Enterprises. • All written and oral information and material disclosed or provided by Carl Carson Enterprises to the Yamashita Architecture Firm under this agreement is deemed as confidential information regardless of whether it was provided before or after the date of this agreement or how it was provided to Yamashita Architecture Firm. Return of Property

• Upon the expiry or termination of this agreement, Yamashita Architecture Firm will return to any representative of Carl Carson Enterprises any property, documentation, records, or confidential information which is the property of the Carl Carson Enterprises.

Capacity/Independent Contractor

• In providing the services under this agreement, it is expressly agreed that Yamashita Architecture Firm is acting as an independent contractor and not as an employee. Yamashita Architecture Firm and Carl Carson Enterprises acknowledge that this agreement does not create a partnership or joint venture between them, and is exclusively a contract for the provided service. Dispute Resolution

• In the event a dispute arises out of or in connection with this agreement, both parties will attempt to resolve the dispute through friendly consultation.
• If the dispute is not resolved within a reasonable period then any or all outstanding issues may be submitted to mediation in accordance with any statutory rules of mediation. If mediation is unavailable or is not successful in resolving the entire dispute, any outstanding issues will be submitted to final and binding arbitration in accordance with the laws of Tokyo. Modification of Agreement

• Any amendment or modification of this agreement or additional duty assumed by either party in connection with this agreement will only be binding if evidenced in writing signed by each party or an authorized representative of each party.

Time of the Essence

• Time is of the essence in this agreement. No extension or variation of this agreement will operate as a waiver of this provision.

Assignment

• Yamashita Architecture Firm will not voluntarily or by operation of law assign or otherwise transfer its obligations under this Agreement without the prior written consent of Carl Carson Enterprises. You may also check out how to write a separation agreement.

Entire Agreement

• It is agreed that there is no representation, warranty, collateral agreement or condition affecting this agreement except as expressly provided in this agreement.

Enurement

• This abovementioned agreement will ensure to the benefit of and be binding on the parties and their respective heirs, executors, administrators, successors and permitted assigns.

Titles/Headings

• Headings are inserted for the convenience of the parties only and are not to be considered when interpreting this agreement. You may also see key differences between agreements and contracts.

Gender

• Words in the singular mean and include the plural and vice versa. Words in the masculine mean and include the feminine and vice versa.

Governing Law

• It is the intention of the parties to this agreement that this agreement and the performance under this agreement, and all suits and special proceedings under this agreement, be construed in accordance with and governed, to the exclusion of the law of any other forum, by the laws of Tokyo, without regard to the jurisdiction in which any action or special proceeding may be instituted. Severability

• In the event that any of the provisions of this agreement are held to be invalid or unenforceable in whole or in part, all other provisions will nevertheless continue to be valid and enforceable with the invalid or unenforceable parts severed from the remainder of this agreement. Waiver

• The waiver by either party of a breach, default, delay or omission of any of the provisions of this agreement by the other party will not be construed as a waiver of any subsequent breach of the same or other provisions.
